These Terms of Service (the “Terms”) govern your access to and use of MyPlate, the task and project management service available at mypl8.app (the “Service”), operated by Berding Consulting (“Berding Consulting,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance of These Terms

By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.

3. The Service

The Service lets you create, organize, assign, share, and track tasks and related content, collaborate in teams, attach files, and record time. We may add, change, or remove features from time to time.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account that results from your failure to keep your credentials secure.

5. Third-Party Sign-In

If you sign in using a third-party provider such as Google or Microsoft, your use of that sign-in feature is also subject to that provider’s terms and privacy policy. You are responsible for maintaining the security of the third-party account you use to access the Service.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, or infringe the rights of others;
  • Upload or share content that is unlawful, harmful, harassing, defamatory, or otherwise objectionable;
  • Upload malware or any code intended to disrupt, damage, or gain unauthorized access to any system or data;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, scrape, or use automated means to access the Service except as expressly permitted; or
  • Use the Service to send spam or unsolicited communications.

7. Your Content

You retain all ownership rights in the content and files you submit to the Service (“Your Content”). You grant Berding Consulting a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify (for example, to create file thumbnails or format content for display), and transmit Your Content solely as necessary to operate and provide the Service to you and the users you choose to share it with. You are responsible for Your Content and represent that you have the rights necessary to submit it.

8. Files and Storage

The Service allows you to upload files, subject to any size and storage limits we may impose. You are responsible for maintaining your own backups of important data. We are not responsible for any loss or corruption of files or other content.

9. Intellectual Property

The Service, including its software, design, and the MyPlate name and logos, is owned by Berding Consulting and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, these Terms do not grant you any right, title, or interest in the Service.

10. Privacy

Our Privacy Policy describes how we collect, use, and share information in connection with the Service. By using the Service, you consent to those practices.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERDING CONSULTING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

13. Indemnification

You agree to indemnify and hold harmless Berding Consulting from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases; sections that by their nature should survive termination will survive.

15. Changes to the Service and These Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Arizona, and you consent to the personal jurisdiction of those courts.

17. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Berding Consulting regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
